1. Agreement to Terms

By accessing or using the services provided by Mithril Mountain LLC ("Company," "we," "us," or "our"), including our website at mithrilmtn.com, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not access or use our services.

2. Services

Mithril Mountain provides media buying, traffic arbitrage, lead generation, paid advertising, and ecommerce marketing services. The specific scope of services will be outlined in individual agreements or statements of work between the Company and the client. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

3. Client Responsibilities

Clients agree to provide accurate and complete information necessary for the performance of our services. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree to promptly notify us of any unauthorized use of your account or any other breach of security.

4. Payment Terms

Payment terms will be specified in the applicable service agreement or statement of work. Unless otherwise stated, invoices are due within 30 days of receipt. Late payments may be subject to interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts with outstanding balances.

5. Intellectual Property

All content, features, and functionality on our website, including but not limited to text, graphics, logos, and software, are the exclusive property of Mithril Mountain LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our express written permission.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Mithril Mountain LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of our services. Our total liability shall not exceed the amount paid by you for services during the twelve months preceding the claim.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation shall survive the termination of any service agreement for a period of two years.

8. Termination

Either party may terminate the service agreement with 30 days written notice. We reserve the right to terminate or suspend your access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Utah.
